Romania as the Smart EU Landing Zone for Non-EU Investors

For many non-EU investors, the real challenge is not whether to enter the EU market, but where to establish the first reliable foothold - a jurisdiction that is commercially credible, cost-efficient, legally navigable, and practical for cross-border ownership, operations, and compliance.

Romania increasingly fits that profile. But the compliance environment has matured, and that changes what "entering" actually means. A Romanian SRL for a foreign founder is not just a company file. It is simultaneously a tax profile, an FDI question, a banking file, an immigration fact pattern, and a governance system. This guide treats those five as one project - because the authorities, banks, and commercial partners all end up looking at the same underlying story: who controls the business, where it is managed, and what its real economic purpose is.

Workstream 1: the vehicle - SRL, branch, or holding

The right structure depends on what you are buying, building, or testing:

Structure

Best fit & main advantage

Watch-out

Romanian SRL

Operating business, tech, services, real estate SPV, JV - separate legal personality and flexible governance

Needs full corporate and tax maintenance

Branch

Extension of a foreign parent into Romania - simpler group visibility in some cases

Less liability ring-fencing; permanent establishment and compliance issues

Holding / multi-entity stack

Acquisition platform, segregated assets, future M&A - cleaner dividend flows and asset separation

Must be planned with tax, substance, and FDI rules in mind

In practice: a non-EU founder launching a Romanian software delivery hub will often prefer an SRL owned by an overseas holding or directly by the founder. A family office acquiring multiple Romanian properties may prefer separate SPVs under one ownership platform. A multinational testing a local sales presence may start with a branch, then migrate to an SRL once local contracts, staff, or licensing needs increase. A structure that looks simple on incorporation day can become inefficient once profits, intra-group services, financing, or future exits are considered.

Remote incorporation by power of attorney, in English

In many cases a Romanian company can be formed without the investor travelling: a power of attorney, documentation signed remotely, KYC checks conducted online, and English-language coordination for investors or groups without a local team yet. The main steps: define the structure and shareholders → verify identity documents and beneficial owners → prepare the POA and corporate documents → reserve the company name → establish the registered office → file with the Trade Register → organize post-incorporation steps (bank account, beneficial owner declarations, internal compliance flow). A simple SRL incorporation can typically be prepared and filed within a few business days; total duration depends on foreign documents, signing formalities, and the pace of banking and KYC checks.

Workstream 2: dividends, treaty access, and management substance

Withholding · participation exemption · tax residency

Three points that belong at incorporation, not at first distribution

Withholding. The domestic rate on dividends paid to non-residents is generally 16%, but exemptions or reductions may apply under EU rules or a double tax treaty. Romanian domestic rules also recognize a participation-style exemption for certain dividend flows between Romanian entities where a minimum 10% holding is maintained for at least one year.

Treaty access - the UAE example. Dividend treatment must be checked both under Romanian domestic law and under the applicable treaty as at the date of payment. Depending on the ownership structure and treaty conditions, a reduced withholding rate may apply - but applying it usually requires proof of the recipient's tax residence and an analysis of beneficial owner status, meaning the person or entity genuinely entitled to the income. The Romanian paying company will typically request a valid tax residence certificate and sometimes further documents on the ownership chain, economic purpose, and effective beneficiary. The rule must be verified at transaction date: treaties, implementing norms, and tax practice change, and the analysis differs depending on whether the recipient is an individual, a holding company, or another investment vehicle.

Substance. Romanian law can look beyond incorporation formalities: if strategic management is effectively exercised in Romania, residence and compliance consequences may follow. Board practice, shareholder decisions, director mandates, and financing documents should therefore be aligned from the outset.

Workstream 3: FDI screening catches more than share purchases

Romania's regime is built on GEO No. 46/2022, adopted in the context of the EU framework in Regulation (EU) 2019/452. A mandatory filing can be triggered where the investment exceeds EUR 5 million and falls within a covered sector - the threshold having been raised in March 2026 from EUR 2 million, with a EUR 5,000 filing fee (CMS). The bigger surprise for most investors is the range of transactions caught:

Six trigger types beyond the classic share acquisition

For non-EU investors in real estate, energy-adjacent infrastructure, digital assets, sensitive data businesses, logistics, media, or regulated sectors, clearance analysis should happen before signing definitive documents. Built into the transaction map from day one, it becomes: sector review → trigger analysis → filing strategy → conditions precedent → closing timetable.

Quick test: five workstreams, four traps

Situation 1: "We're acquiring in three tranches of EUR 2 million each over eight months - each one is below the filing threshold."

Likely aggregated. The regime can capture phased transactions aggregated over a 12-month period. Slicing a deal into tranches is one of the most reliably unsuccessful ways to avoid a filing - and non-compliant implementation carries fines of up to 10% of global turnover, plus annulment risk for the transaction itself.

Situation 2: "The founder will run the Romanian company day-to-day from Bucharest, but the group keeps the holding abroad for tax reasons - nothing changes fiscally."

Substance question. Romanian law can look beyond incorporation formalities: where strategic management is effectively exercised in Romania, residence and compliance consequences may follow. Board practice, shareholder decisions, director mandates, and financing documents need to tell the same story as the org chart.

Situation 3: "The director's residence permit expires next month - we'll file the renewal a few days before."

Too late. Applications should be submitted at least 30 days before expiry of the existing right to stay, through the competent territorial immigration office. A lapse doesn't only affect the individual - it can interrupt the person's ability to act for the company at exactly the wrong moment.

Situation 4: "We filed the beneficial ownership declaration at incorporation. That box is ticked permanently."

Ongoing obligation. Under Law No. 129/2019, Romanian companies must submit beneficial ownership information at incorporation and update it upon relevant changes. Failures can trigger fines of up to RON 10,000, with escalation risk where the breach is not remedied - and an outdated UBO filing is also a red flag in bank reviews and diligence.

Interactive: what enhanced due diligence looks like

For non-resident shareholders, banks and service providers commonly apply enhanced due diligence around seven areas. Tick what you can evidence today:

The seven areas banks probe on non-resident structures

  • Source of funds, evidenced rather than asserted
  • Ultimate beneficial owners identified through the full chain
  • Group charts that match the corporate filings
  • PEP exposure identified and addressed in advance
  • Sanctions screening across the ownership and counterparty chain
  • A coherent business rationale for the Romanian entity
  • Cross-border service or financing flows documented and explicable

Residence: purpose-based, never automatic

Investing in a Romanian company does not by itself confer a right of residence - Romania has no classic golden visa based on capital placement alone. A permit is obtained on a concrete ground: effective management of the business, a management role, local professional activity, employment, family reunification, or another long-term stay basis permitted by law. In practice, investors either establish or buy a business and align their corporate position with a real residence ground, appoint directors and define their own operational role in Romania, or keep management abroad and treat Romania purely as an investment platform - without assuming the investment alone generates residence. The route must be coordinated from the start with the FDI analysis, the corporate structure, and the compliance documentation.

How to compare Romanian law firms - by workstream, not by brand

When choosing counsel, look at the real capacity to coordinate several workstreams within one project, not at corporate experience in the narrow sense. Use the same four questions across every firm on your shortlist:

  1. FDI
Does the firm offer screening analysis and support on sensitive transactions - or only general regulatory commentary? Does it have a dedicated practice or concrete mandate examples?
  2. Corporate
Experience across SRL, branch, holding, M&A, and governance - with a focus on foreign investment and local operations, not just domestic corporate housekeeping.
  3. Tax
Can it coordinate implementation with tax advisers, and does it understand the treaty and withholding side rather than outsourcing the question entirely?
  4. Immigration
Can it connect residence, the administrator role, and the business structure - with actual experience on residence files, not theoretical support?

Applied honestly, this grid separates three profiles: full-service firms (check whether the foreign-investment practice is dedicated and who actually runs the file), specialist boutiques (check whether they cover complex mandates or only discrete validation, and whether the treaty and withholding side is in scope), and integrated business-law firms like BSA (check the same four columns, with the same evidence standard). The relevant difference is rarely size - it is whether the four workstreams arrive as one plan or four invoices.

"A Romanian SRL for a foreign founder is not just a company file. It is a tax profile, an FDI question, a banking file, an immigration fact pattern, and a governance system. Connecting those workstreams instead of treating them as isolated tasks is what protects the investment."

- BSA's working premise for non-EU market entry

On that basis, BSA's work for non-EU investors typically includes: market-entry structuring for SRLs, branches, holdings, and SPVs; FDI screening analysis and transaction support; shareholder, governance, and director frameworks; real estate and tech investment structuring; tax-sensitive legal coordination with accounting and treaty advisers; AML, beneficial ownership, and bank-readiness support; and immigration and residence strategy aligned with the real business model - supported by membership in Legal Network International for investors managing both Romanian and foreign legal touchpoints.

Frequently asked questions

Is Romania a good EU entry point for non-EU investors in 2026?

Yes - EU market access, flexible structuring options, and relatively competitive tax features. Successful entry depends on getting FDI, tax, AML, and immigration planning right from the start rather than sequentially.

SRL, branch, or holding structure?

In most cases the SRL, for separate legal personality and flexibility. A branch suits limited extensions of an existing foreign business; a holding or multi-entity structure is often better for acquisitions, dividend planning, or asset segregation.

Does Romania have a golden visa?

No, not in the classic passive-investment sense. Residence runs through purpose-based routes, and the strategy should be aligned with the actual corporate and management structure of the investment.

Can the company be set up remotely?

In many cases yes - power of attorney, remote signing, online KYC, English-language coordination. A simple SRL can be prepared and filed within a few business days; total duration depends on foreign documents, signing formalities, and banking checks. Map the full path first.

Considering Romania as your first EU base?

The right next step is not merely incorporating a company. It is mapping the entire entry path: vehicle selection, ownership chain, dividend route, FDI exposure, immigration position, and AML readiness - so that good structuring creates optionality instead of delays.
