+RON 1,500,000commercial impact contained
CASE · 01 / 08
BSA successfully assisted a significant operator in the restaurant sector in a complex unfair competition dispute arising from the unlawful appropriation of key business assets - operational know-how, key personnel and commercial practices developed in-house. The mandate called for a swift legal strategy focused on protecting goodwill and containing the damage caused in the market.
Our involvement centred on rapidly structuring the evidence, assessing the competitive conduct and devising a strategy designed to halt any further damage. As a result of the steps taken, a commercial impact estimated at over RON 1,500,000, was contained, including operating losses and harm to goodwill. The case preserved the client's position in a highly competitive sector, where the speed of the legal response makes the difference between an isolated incident and a structural loss of market share.
Commercial litigation
High-value litigation for a transport company
+RON 10,000,000value of the dispute
CASE · 02 / 08
A major company in the transport sector was involved in a high-value commercial dispute concerning the performance of contractual obligations and the recovery of receivables arising from a complex, long-standing commercial relationship. The case, coordinated by BSA, required the review of a considerable volume of contractual and operational documentation - invoices, acceptance records, commercial correspondence and allegations of purported non-conformity of the services.
The economic stakes of the dispute exceeded RON 10,000,000, and the risk for the client was not confined to the immediate financial exposure but extended to the precedent it would set for related commercial relationships. The strategy was built around clarifying the contractual mechanism and repositioning the evidence in the client's favour. The outcome protected a significant commercial exposure and strengthened the client's position in a dispute with a direct bearing on cash flow and operational stability.

€ Millionsbusiness line with potential
CASE · 03 / 08
BSA advised a major capital markets player on a strategic project concerning the assessment and integration of crypto-asset components into its business model, against a fast-evolving regulatory backdrop. The mandate included analysing the applicable regulatory framework, assessing legal and compliance risks and structuring the dialogue with the authorities and other relevant institutional stakeholders.
The team provided support both on points of legal interpretation and in defining a prudent approach suited to an entity operating in a heavily regulated sector. The project concerned a business line with development potential in the order of several million euro, conditional upon rigorous legal integration and a workable relationship with the authorities. The project enabled the client to move forward in a controlled manner, with a clear understanding of the legal limits and of the steps required for implementation.

CASE · 04 / 08

Our involvement covered the key stages of the transaction - legal due diligence, structuring the deal, negotiating the transaction documents and managing the sensitive issues identified in the process.
The mandate required the coordination of several workstreams: corporate, commercial and regulatory matters, together with the contractual allocation of risk. The transaction was completed with full legal certainty for the client, to a demanding timetable and in a commercial context of high strategic importance.

BSA assisted an entrepreneur / a company in criminal proceedings involving allegations of tax evasion, stemming from the interpretation of commercial and tax operations carried out over several years. The case concerned an alleged loss of approximately EUR 2 million, with a direct impact on the company's activity and on the reputation of its management.
The team built an integrated legal and tax defence, examining the accounting records, the commercial flows, the economic substance of the transactions and the distinction between tax non-compliance and criminal conduct. The strategy sought to limit criminal exposure, clarify the tax position and safeguard business continuity - in a mandate where discretion and speed of response were essential.

The mandate covered defence strategy and preparation of the procedural position, review of the evidence and coordination of the legal arguments with the financial aspects of the case. CASE · 07 / 08
BSA advised a client in a complex commercial dispute in the solar energy sector, concerning the performance of contractual relations. On appeal, the court upheld the arguments put forward by the team and set aside the first-instance judgment, securing a favourable outcome for the client.
The case required in-depth contract analysis, litigation strategy, reconstruction of the commercial timeline and arguments on the performance of the parties' obligations. A telling example of BSA's ability to handle commercial disputes with high economic and technical stakes, in a sector with its own regulatory and operational specifics.
M&A · Tech-enabled DD
M&A transaction with technology-enabled due diligence
127.000e-mails reviewed · 72h instead of 6 weeks
CASE · 08 / 08
BSA advised on a complex M&A mandate involving an extensive due diligence process, including the review of approximately 127,000 e-mails. By using technology to identify the relevant patterns, a review that would have taken around six weeks was cut to about 72 hours.
In 2025, BSA completed more than 10 mergers and acquisitions transactions, the largest exceeding EUR 6 million. The mandates covered not only legal analysis but also tax, technology and reputational risk assessments, reflecting the firm's integrated approach. In addition, BSA obtained before the ÎCCJ (High Court of Cassation and Justice) the annulment of an additional tax assessment of approximately EUR 1.2 million, together with the related accessories, in a case concerning an investor in the energy sector.
