Alexandra began her practice in insolvency proceedings, where she saw at close range what happens to a company when contracts are no longer honoured and creditors start looking for their money. Over time she moved to transactions, and today she mainly assists companies and investors buying or financing a business, carrying out the due diligence on the company and preparing the transaction documents.

In a due diligence, the question of who actually controls the company and where the money comes from is among the first to arise, and whether the transaction goes ahead often depends on the answer. That is how she came to compliance, an area she now also covers outside transactions, when companies want to find out whether they comply with the rules that apply to them.

Representative experience

Assisting the parties in mergers and acquisitions, including in the due diligence of the target company and of its intellectual property rights.
Reviewing and negotiating commercial contracts, including intermediation and confidentiality agreements.
Advising companies on their obligations to prevent money laundering and terrorist financing, with a focus on identifying and declaring beneficial owners.
Analysing exposure to international sanctions in transactions and commercial relationships with foreign elements.
Assisting companies in authorisation procedures and in their relationship with the Financial Supervisory Authority.
Assisting the insolvency practitioner in administering proceedings, in particular in verifying claims and in the litigation arising from the proceedings.
Setting up non-governmental organisations active in Romania and abroad and assisting them on governance and compliance with Romanian and European regulations.
Drafting internal regulations and policies for employers, including for healthcare facilities.
